Brand approval runs alongside your loan
When a branded supply agreement is being assumed, the brand or the distributor typically has to qualify you: operating experience, financial capacity, sometimes training completion, and agreement to image standards. Lenders will often want to see that approval, or at least confirmation it is progressing, before final credit approval.
Start both processes the week you go under contract. Ask the seller in writing who at the brand or distributor handles approvals and what the current turnaround looks like.
Image loans and assumed obligations
Corporate sites frequently carry an image loan balance from canopy, dispenser, or store upgrades, repaid through a per-gallon surcharge. If you assume it, your effective fuel cost is higher than the posted rack-plus number, and your lender will treat that as an operating cost.
Also confirm minimum volume commitments, remaining term, and early-termination charges. These are contractual costs that belong in your underwriting from the first model, not discovered at the loan committee stage.
Making the corporate side lender-friendly
The advantage of a corporate deal is documentation. Audited or professionally prepared statements, clean tank compliance records, and organized environmental history make a credit file much easier to approve than a cash-basis independent seller does.
Package that material well: trailing financials, gallon and inside-sales history, the supply agreement, tank and compliance records, and environmental reports.
