Sell My Gas Station in Florida: Confidential Sale Representation

The Gas Station Group is a Florida gas station broker that helps owners value and confidentially sell gas stations, convenience stores, and truck stops statewide. We are a petroleum-specific business broker and convenience store broker: we underwrite monthly fuel gallons and margins, inside-store sales, P&Ls and tax returns, real estate value versus business value, brand and fuel-supply agreements, and UST and environmental records — then run an NDA-controlled process from valuation through closing. The practice is led by Bobby Berrido, CCIM, CMAA, and all transactions are brokered through Fausto Commercial.

How Is a Gas Station Valued?

A gas station is an operating business and a piece of regulated real estate at the same time, so the price turns on more than a multiple of one number. We underwrite monthly fuel gallons and margins, inside-store sales and margins, real estate value versus business value, the fuel supply agreement, tank age and environmental records, and comparable Florida sales. The full method is set out in our guide to valuing a Florida gas station, and our gas station valuation service produces a confidential valuation of your station at no cost.

Fuel Volume and Margin

Monthly gallons by grade and the margin on each gallon are the first things a fuel buyer reconciles. Delivery invoices and pump sales have to support the figures.

Real Estate and Environmental Condition

Land, improvements, tank age and construction, and any open environmental file all move the number. Known issues are usually priced or credited rather than hidden.

Supply Agreement and Brand

Remaining term, volume commitments, assignment rights and image obligations shape what a buyer can do with the site. We read the agreement early. More on fuel supply agreement advisory.

What You Are Selling: the Business, the Real Estate, or Both

Before price comes up, decide what is actually being sold. A gas station can be sold as the operating business on a leased site, as the real estate with a tenant in place, or as both together. Each path attracts a different buyer and is priced on different evidence. For the numbers behind each one, see our gas station valuation service and the guide to valuing a Florida gas station.

Selling the business only

The buyer pays for fuel and inside-sales cash flow, equipment and goodwill, and depends on a lease to stay on the site. The rent, the remaining term and the landlord's consent shape the price. Whether a fuel supply agreement transfers, or is replaced, matters too. Our Naples business-only sale closed with a new lease and no fuel supply agreement.

Selling the real estate

The buyer is pricing land, improvements and any lease in place. Tenant rights matter: in our Palmetto Bay sale, the tenant exercised his right of first refusal, and the buyer accepted the existing contamination condition.

Selling both together

Owner-operators who own the property often sell the business and real estate in one transaction. Tank age, environmental status and equipment condition affect both values and are usually where negotiation happens. In our NW 36th Street sale, broken sumps were resolved with a negotiated closing credit rather than a price reduction.

What Documents Should You Prepare?

Buyers and their lenders underwrite the same core categories. Having these organized before marketing can reduce avoidable delays and support the valuation. Which items apply depends on your deal structure: a business-only sale leans on financials, supply and licenses; a business-plus-real-estate sale adds title, survey and environmental review; a tenant-occupied triple-net property is underwritten primarily on the lease, the tenant and the real estate. The full request list is in our buyer document request checklist.

Financial Records

P&Ls and balance sheets for recent full years plus the current interim period, business tax returns for the same years, and point-of-sale reports that reconcile to bank deposits. A schedule of owner compensation, related-party rent and one-time expenses helps a buyer trust the numbers.

Fuel Volumes and Margins

Monthly gallons by grade with supporting delivery invoices, and margin history in a form that ties to invoices and pump sales. This is the first thing a fuel buyer reconciles.

Inside Sales

Inside-store sales by department where your point-of-sale system allows, plus lottery commissions (distinct from gross ticket sales), car wash revenue and other ancillary income where applicable. Card-processing expenses are tracked separately from income. Inside margin often carries the valuation on modern c-stores.

Fuel Supply Agreement

The full agreement with amendments and exhibits, its remaining term, volume commitments, assignment and consent language, branding or image program obligations, and any right of first refusal.

Leases and Real Estate

Deed, title policy, survey, tax bills, easements and zoning verification if you own the real estate; the lease with all amendments, assignment provisions and estoppels if you lease it. For a tenant-occupied NNN sale, the lease and tenant file are the core of the offering.

Tank and Environmental Records

Storage tank registration and compliance status, tank and line construction and installation dates, release-detection and monitoring records, any discharge or open case with its assessment and closure documentation, and any prior Phase I or Phase II reports in your possession.

How Does Confidential Marketing Work?

We do not advertise a confidential listing on the open MLS, and we do not put the address, brand or identifying photos in any teaser. A blind summary describes the corridor, gallon profile, store sales range and structure — enough for a qualified buyer to express interest, not enough to identify the site. The full method is in how to sell your gas station confidentially.

Blind Teaser, Then NDA

Outreach goes to a curated list of operators, family offices and 1031 buyers rather than a public audience. The property identity, financials and contracts are released only after a signed confidentiality agreement.

Buyer Qualification

We screen prospective buyers for financial capacity, acquisition criteria, and their ability to complete the transaction. Depending on the opportunity, qualification may include proof of funds, financing readiness, relevant operating experience, and required supplier or franchise approvals. Sensitive information is released in stages under appropriate confidentiality protections.

Staged Disclosure and Discreet Visits

Information moves in tiers — summary figures first, then statements, then contracts. Early site visits happen as ordinary customer stops. See keeping the sale confidential from staff.

What Confidentiality Cannot Promise

A disciplined process reduces exposure; it does not eliminate it. Public records, lender work and third-party diligence can reveal that a transaction is underway, and legal questions about your own obligations belong to your attorney.

What Happens During the Sale Process?

A sale has two distinct periods, and they behave differently. Preparation and marketing depend partly on your readiness; the period from an accepted letter of intent to closing depends on third parties and is less predictable. The stage-by-stage detail is in from letter of intent to the closing table.

1. Valuation and Strategy

We underwrite the station and present a confidential valuation with a recommended strategy: who the likely buyers are, how the sale should be structured, and what to fix or prepare before going to market.

2. Document and Data Room Prep

Three years of fuel volumes, P&Ls, tax returns, environmental records, UST registrations, lease or franchise agreements, and permits — organized into a buyer-ready data room.

3. Confidential Marketing

Blind teasers go out to our vetted database of operators, family offices, and 1031 buyers. Identity is protected until NDAs are executed. See our off-market process.

4. Offer Negotiation and LOI

We negotiate price, deposit, due diligence period, financing contingencies, non-compete, training, and inventory transfer — and present a side-by-side comparison of every qualified offer.

5. Due Diligence Coordination

Phase I/II environmental, UST compliance, fuel volume verification, lease estoppels, franchise consents, and SBA or conventional financing coordination — managed end-to-end.

6. Closing and Transition

Title, escrow, inventory count, fuel meter readings, employee transition, and supplier reassignment. Most Florida gas station sales close 60–120 days from accepted LOI.

What Extends the Process

Open environmental cases or tank issues, financing or SBA underwriting, supplier or franchisor consents, rights of first refusal, title or survey defects, and incomplete financial records are the most common causes of delay. We identify these early so they are managed rather than discovered.

How Do You Request an Initial Discussion?

The process starts with a confidential conversation, not a listing. You do not need a perfect file to begin; part of our job is helping you organize it.

What the First Conversation Covers

Your goals, your timeline, and whether you want to sell the business, the real estate, or both. We do not market the opportunity without your authorization, and identifying information is shared only through a controlled process.

What Helps to Have Ready

Recent monthly fuel gallons and margins, inside-store sales, P&Ls and tax returns, your fuel supply agreement, your deed or lease, and your storage tank registration and environmental records. Missing pieces are normal at this stage.

What You Receive

A confidential valuation and a recommended strategy: who the likely buyers are, how the sale should be structured, and what to prepare before going to market. You then decide whether and when to proceed.

How to Reach Us

Call (305) 518-1545 or use the contact form to request a confidential consultation. The initial consultation, valuation and strategy session are free, and nothing about your station leaves our office without your approval.

Why Owners Decide to Sell

Every sale starts with a personal reason. Our job is to translate that motivation into the right strategy, timing, and buyer pool — without disrupting your operation, your staff, or your supplier relationships.

Retirement, Succession & Portfolio Consolidation

After decades behind the counter, many Florida operators are ready to monetize a life's work. Multi-site operators also sell underperforming locations to redeploy capital into higher-volume corridors or modern c-store formats.

1031 Exchange & Diversification

Sellers exchanging into passive triple-net investments or other asset classes benefit from disciplined timing and qualified intermediary coordination.

Environmental, Tank or Supply-Contract Pressure

UST upgrade requirements, Phase II findings, aging canopy and dispenser systems, or an expiring fuel supply agreement often trigger a sale rather than a major reinvestment. We advise on fuel supply restructuring vs. exit.

Unsolicited Offers

Receiving a direct offer is flattering — but rarely the highest price. By exposing the opportunity to qualified buyers and creating a competitive process, we work to maximize value and negotiate the strongest possible price and terms for the seller.

Florida Requirements and Official Sources

Some items in a Florida gas station sale are legal or regulatory requirements; others are lender or buyer requests. The distinction matters, and we verify which is which on every file. Primary sources:

Storage Tanks and Environmental

Petroleum storage tank registration and compliance sit with the Florida Department of Environmental Protection (storage tank facility registration and storage tank compliance). Environmental assessments are separate from routine tank registration and compliance records. Their scope, timing, ordering party, and cost allocation depend on the transaction, contract, financing, and environmental circumstances. The parties should confirm applicable obligations with their attorney and environmental consultant.

Fuel Quality and Weights & Measures

The Florida Department of Agriculture and Consumer Services administers fuel quality and dispenser inspection (FDACS Fuel and Measures).

Tax Registration

Sales and use tax and business tax registration run through the Florida Department of Revenue (business tax registration). A buyer generally applies for its own registrations rather than taking over yours.

Alcohol, Tobacco and Lottery

Beer, wine and liquor licenses and retail tobacco and nicotine dealer permits are issued by the DBPR Division of Alcoholic Beverages and Tobacco (ABT licensing), and the Florida Lottery retailer contract is a separate agreement (Florida Lottery retailers). Transfer or new-application requirements vary by license type and are confirmed with the agency and your attorney on each deal.

Legal vs. Lender Requirements

Applicable licenses, registrations, and permits depend on the activities and transaction structure. Lenders and buyers may request additional reports and records, while contractual or legal obligations may also apply. Confirm the requirements for the specific transaction with the relevant agencies and professional advisers.

Why Florida Owners Choose The Gas Station Group

A short, verifiable summary of who you are working with.

Led by Bobby Berrido, CCIM, CMAA

This page and the seller guides linked from it are prepared by The Gas Station Group, a Florida commercial real estate practice led by Bobby Berrido, CCIM, CMAA, a broker who specializes in gas stations, convenience stores and truck stops. The CCIM designation covers investment-grade financial analysis and the CMAA covers merger and acquisition advisory — both directly relevant to a sale that is an operating business and a piece of real estate at the same time. More on the About page.

Brokered Through Fausto Commercial

The Gas Station Group is the specialist fuel-retail practice; all transactions are brokered through Fausto Commercial, the licensed Florida brokerage entity. You always know which licensed entity your listing agreement and escrow instructions run through.

Verified Florida Closings

Our board shows $150M+ in transaction volume and 50+ closed deals brokered. Examples include the $23.5 million sale of the Mobil truck stop at 12200 NW South River Drive in Medley, an $8.5M Florida City gas station sold to Sunshine Gas, and a $5.5M southwest Miami-Dade station sold to Sunshine Gasoline Distributors. Individual closings are documented on our recent transactions page.

Petroleum-Specific, Not General Business Brokerage

We are a petroleum-specific business broker and convenience store broker. Gallons, fuel margin, inside-store margin, supply agreements, tank age and environmental records drive the price, and a general business broker rarely underwrites them. More on how a specialist broker works.

Statewide Florida Coverage

We work with owners across Florida, from the Panhandle through Central Florida to the southern tip of the state, with buyer relationships in every major fuel retail corridor.

FAQ

Frequently Asked Questions

Most confidential sales close 60–120 days after an LOI is accepted. The full process from engagement to closing typically runs 4–8 months depending on environmental status, financing, and franchise consents.

Not unless you choose to tell them. We market with blind teasers and require signed NDAs before disclosing the property identity. Confidentiality is the core of our sell-side process.

Value is driven by gallons-per-month, fuel margin, inside sales, real estate, fuel supply contract terms, brand, lease structure, and environmental condition. We provide a confidential valuation at no cost during your consultation.

Not necessarily. Many sales close with environmental matters credited at closing or assumed by the buyer. We structure the deal so known issues don't derail the transaction.

Yes. We frequently structure sales as business-only (with a long-term ground lease back to you), real estate only, or combined. Each path has different tax and cash-flow implications we'll walk through.

Our sell-side engagement is success-based — we are paid a commission at closing, not upfront. The initial consultation, valuation, and strategy session are free and fully confidential.

Plan on three years of monthly fuel gallons and fuel margin reports, inside-store sales and margin detail, P&Ls and business tax returns, and your fuel supply or branding agreement. Add UST registrations and environmental records, deed or lease documents, permits and licenses, and an equipment list showing what you own versus what the supplier or a vendor owns. Which items a specific buyer requests depends on transaction structure and buyer type, and some records — such as a buyer's Phase I or Phase II environmental assessment, title work and survey — are ordered by the buyer rather than provided by you. Everything is released only under NDA, in stages, and never to unqualified parties.

Yes, in most cases an active supply agreement does not prevent a sale — it shapes the buyer pool and the structure. The agreement may be assigned to the buyer with the supplier's consent, may require the buyer to be approved for the brand, or may need to be bought out or allowed to run to term. We read the agreement early — remaining term, volume commitments, assignment and consent language, branding and image obligations, rights of first refusal — and price the transaction around what it actually permits. Contract interpretation and any buyout are matters for your attorney and the supplier; our role is brokerage strategy, not legal advice.

Before any confidential information is released, we ask for proof of funds or a lender commitment, the buyer's operating history in fuel retail, and confirmation that they can be approved by the brand or supplier where that matters. Only then does a signed NDA unlock the property identity and the data room, and sensitive records are released in stages as the buyer advances. This is how we protect your staff, your suppliers and your customers from learning about the sale prematurely, and it keeps your time focused on buyers who can actually close.

Fuel and store inventory are normally counted at or just before closing and paid for by the buyer separately from the purchase price. Fuel is measured by tank stick or meter readings at the moment of transfer and valued at your cost; inside-store merchandise is counted, often by an independent inventory service, and typically valued at cost with agreed exclusions for damaged, expired or unsaleable goods. Lottery, tobacco and alcohol stock, along with change funds and vendor deposits, are handled as separate line items on the closing statement. The exact method is written into the purchase agreement, and your accountant should confirm how the amounts are reported.

An accepted LOI starts due diligence and moves the parties toward a definitive purchase agreement, not to an automatic closing. The buyer typically deposits escrow funds, then works through financial verification, fuel volume confirmation, environmental and UST review, title and survey, lease or franchise consents, and financing or SBA underwriting while the attorneys paper the contract. Findings can lead to renegotiation, an extension, an escrow holdback, a cure, or in some cases termination. Most Florida gas station sales close 60–120 days from an accepted LOI, subject to environmental status, financing and any consents required.

A gas station is an operating business and a piece of regulated real estate at once, and the price turns on details a generalist rarely underwrites. Monthly gallons and fuel margin, inside-store sales and margin, real estate value versus business value, supply and branding obligations, tank age and environmental records, and equipment ownership all change the number and the buyer pool. As a petroleum-specific business broker and convenience store broker, we underwrite those items, market only to vetted fuel-retail buyers under NDA, and coordinate the environmental, financing and consent work that most often delays these closings.
