Every station for sale comes attached to a supply arrangement, and that arrangement is often worth more or less than the real estate. Understanding who supplies fuel — and on what terms — is central to evaluating any acquisition.

How Fuel Reaches a Station

Fuel moves from refiners through terminals to retail sites by three main routes: directly from a major oil company brand, through a branded distributor or jobber holding the brand rights for a territory, or as unbranded product bought on the rack by an independent.

Most independent stations buy from jobbers rather than from refiners. The jobber holds the supply contract, delivers the product, and often owns the equipment or holds the imaging obligation.

Branded, Unbranded, and Hybrid Positions

A major brand supplies credit card acceptance, loyalty programs, brand recognition, and image standards — along with imaging requirements, minimum purchase obligations, and pricing set by the supplier's differential. Unbranded gives pricing freedom and lower cost of goods with no brand support and more price sensitivity.

Regional brands and hypermarket competition sit between the two. Which position suits a site depends on traffic mix, competitor set, and how much capital you can put into imaging.

Beyond Fuel: The Supplier Stack

A station also depends on a convenience distributor for packaged goods and tobacco, beverage suppliers with equipment and merchandising agreements, foodservice or quick-serve franchise partners, a lottery authority, POS and payment processors, petroleum equipment contractors, and environmental consultants.

Each of these relationships can carry a contract that survives a sale. Inventory them during diligence rather than after closing.

What to Verify on a Resale

Get the supply agreement and read the remaining term, volume commitments, pricing mechanism, assignment rights, imaging obligations, and any unamortized image loan balance that must be repaid or assumed at closing. Confirm who owns the tanks, dispensers, and canopy.
