Sellers frequently ask where to find a template for a gas station purchase agreement. Templates exist, and they are useful for understanding structure — but a fuel site has clauses no generic form contains.
This article covers where the standard forms come from, which fuel-specific provisions must be added, and when a template is genuinely safe to use.
Where the Standard Forms Come From
In Florida, most commercial transactions start from the Florida Realtors/Florida Bar commercial contract (CC-5 and related riders) or a Florida Bar approved asset purchase form. Business brokers often work from an asset purchase agreement template supplied by their firm or by trade groups such as IBBA. Title companies and lenders also publish rider language.
These forms handle price, deposit, closing, title, and default competently. They do not address underground storage tanks, branded supply, or license transfer at all.
The Fuel-Specific Clauses a Template Will Not Have
Purchase price allocation between real property, FF&E, inventory, and goodwill. Fuel and merchandise inventory count and settlement at closing. Assignment or termination of the fuel supply agreement and treatment of unamortized image loan balances. Environmental condition, Phase I and Phase II access, discharge disclosure, FDEP case status, and who bears remediation cost.
Also: tank testing and compliance representations, license and permit transfer conditions (fuel tax, weights and measures, alcohol, tobacco, lottery, food service), equipment and ATM contract assignments, employee handling, and a post-closing indemnity with an escrow holdback.
When a Template Is Safe — and When It Is Not
A template is reasonable for a non-binding letter of intent, an NDA, or a first draft you will hand to counsel. It is not safe as your executed purchase agreement on a site with tanks in the ground. Environmental liability transfers by contract, and a missing indemnity clause can cost more than the whole commission.
Practical sequence: use a template LOI to agree on business terms, then have an attorney convert it into a fuel-specific purchase agreement. See legal documents needed to sell and environmental assessments required when selling.
The Gas Station Group prepares the LOI and business terms and coordinates with your attorney on contract drafting. Call (305) 518-1545 or visit sell my gas station. All transactions are brokered through Fausto Commercial.
