Answer that clearly and both sides can argue with evidence instead of feelings. It also matters at closing, because allocation affects taxes and financing.
Value the real estate on its own
Start with the land and improvements as a commercial site: location, corner position, access and turning movements, traffic counts, lot size, zoning, and what comparable Florida fuel sites have sold for. If a market rent is supportable, that rent capitalized gives you a second view of real estate value.
Tanks, canopy, dispensers, and building condition adjust that number. A site needing tank replacement or canopy work carries a real, quantifiable deduction, and environmental status can affect both value and financeability.
Value the business separately
The business is the earnings stream: fuel gross profit after credit card fees and supply surcharges, inside gross profit by category, other income, less all operating costs including market-rate labor for the owner's hours. Normalize the result over a trailing period rather than one strong month.
Then apply a multiple that reflects transferability and risk. Earnings tied to a short supply agreement, a single large customer, or unpaid family labor are worth less than the same earnings from a stable, documented operation.
Putting the two together
Combined value is real estate value plus business value, adjusted for what a buyer must spend after closing on tanks, equipment, image work, or remediation. If the seller's asking price exceeds that sum, the gap needs a specific reason.
