How to Manage Inventory During a Gas Station Sale Process

Inventory is one of the last items settled in a station sale and one of the easiest to mishandle. Fuel in the tanks, merchandise on the shelves, cigarettes behind the counter, and lottery stock each transfer differently.

This guide covers how to manage inventory from listing through the closing count.

Inventory Is Usually Separate from Price

In most gas station transactions, saleable inventory is not included in the purchase price. It is counted at or immediately before closing and paid separately at cost, which keeps the negotiated price clean and avoids arguing about stock levels months in advance.

The purchase agreement should state the valuation method — cost, invoice cost, or cost less an agreed factor — and how damaged, expired, or unsaleable items are excluded.

Managing Levels During the Marketing Period

Do not run the store down while under contract. Empty shelves lower buyer confidence, hurt the trailing financials the lender is underwriting, and can trigger renegotiation. Maintain normal ordering discipline throughout.

Equally, do not overstock to inflate the closing payment. Buyers scrutinize the count, and slow-moving stock invites disputes at exactly the wrong moment.

Fuel, Regulated, and Consignment Items

Fuel is measured by tank stick or automatic gauge at closing and valued at the seller's last landed cost or an agreed method, with the reading witnessed by both parties. Cigarettes and alcohol may require license-specific handling and cannot transfer to a buyer without the appropriate license in place.

Lottery stock, money order stock, gift cards, prepaid phone cards, and consignment items are typically settled separately with the issuing vendors rather than sold to the buyer.

The Closing Count

Use a third-party inventory service or a jointly witnessed count on the morning of closing. Agree the scan method, cost source, exclusion rules, and dispute procedure in advance, and produce a signed inventory certificate that becomes part of the settlement statement.
