The purchase price is rarely the largest surprise on an owner-direct Florida station deal. The surprises are the third-party, regulatory, and working-capital costs the buyer must fund because no seller-side broker prepared for them.
This is the full cost stack to budget before you go under contract.
Transaction and Professional Costs
Budget for commercial counsel, title work and title insurance, survey, lender fees and appraisal, entity formation, and accounting review of the seller's books. On owner-direct deals your legal spend runs higher because your attorney drafts everything.
Documentary stamp and recording costs apply on the real estate transfer, and Florida sales tax applies to certain transferred tangible assets.
Environmental and Technical Costs
Phase I assessment is standard; Phase II sampling follows if the Phase I flags conditions. Add tank tightness and line testing, dispenser and containment inspection, and canopy, roof, and structural review.
If findings appear, remediation cost estimates and lender-required escrow reserves can dwarf every other closing cost. See environmental survey costs.
Licensing, Permits, and Compliance
Expect state and local fuel retail registrations, weights and measures device fees, tobacco and lottery applications, alcohol licensing where applicable, food service permitting, tank registration transfer, and local business tax receipts.
Several of these are sequential rather than parallel, so start them during diligence, not after closing.
Working Capital at Takeover
Fund fuel in tanks purchased at closing, c-store inventory, lottery and ATM float, payroll, utility and supplier deposits, insurance prepayments, and a maintenance reserve for whatever the prior owner deferred.
Compare with startup costs of station ownership and total acquisition cost.
