Due Diligence Checklist for a Foreclosed Fueling Station

Diligence on a foreclosed fueling station replaces missing seller information with independent verification. You will not get a P&L, a tank file, or a maintenance log — you have to build them.

Work this checklist inside the contract's diligence window, in this order.

Title, Legal, and Municipal

Order a title commitment and review liens, judgments, code enforcement liens, unpaid taxes, easements, access rights, and any recorded environmental covenants or use restrictions. Confirm the foreclosure was completed properly and no redemption right survives.

Verify zoning and permitted use for fuel sales, nonconforming-use status if the station has been closed beyond a lapse period, signage rights, curb cuts, and any pending assessments or road projects affecting access.

Environmental and Tanks

Pull the state facility file. Order Phase I, and Phase II if warranted. Commission tank and line tightness testing, cathodic protection survey, sump and containment inspection, automatic tank gauge functionality, and a closure-cost estimate if tanks are unusable.

Confirm registration status, outstanding fees, open discharge cases, and eligibility in any state cleanup program, plus whether that eligibility transfers to you.

Physical and Equipment

Inspect dispensers and payment terminals, canopy structure and lighting, forecourt paving, building roof and structure, HVAC, coolers and refrigeration, POS and fuel controller, air and vacuum, car wash equipment, and ADA compliance items.

Get contractor bids, not estimates. Reopening budgets built from guesswork are the main reason distressed acquisitions go over.

Market, Supply, and Licensing

Verify traffic counts, competitor count and pricing, planned nearby development, and realistic volume expectations. Confirm fuel supply availability and terms, brand feasibility and imaging cost, and the full license path — fuel, environmental, alcohol, tobacco, lottery, food, and local occupational.
