The Case For Independence

You buy where the market is cheapest — rack, spot, or contract — and can switch suppliers when a differential moves. No image standards, no mandated remodels, no brand-controlled credit card program economics.

You keep more of the margin on each gallon in most markets, choose your own customers, and can serve branded and unbranded accounts simultaneously. Exit is simpler: no image loan to unwind, no distributor agreement to assign.

The Case Against

You carry supply risk alone. In an allocation event, branded distributors have contractual supply; independents compete for spot barrels at whatever the market charges. Price volatility hits your book directly.

You also lose brand marketing, loyalty programs, and the credit card rates a major negotiates. Customer acquisition is harder without brand recognition, and financing can be tighter because lenders like contracted supply.

Operational Realities

Independents own their own back office: tax filings across jurisdictions, hedging or the decision not to hedge, credit decisions on every account, and the compliance calendar. Branded distributors get more structure and more oversight.

Scale changes the math. Below a certain volume, independence means paying retail-ish rack differentials without support. Above it, independence is usually the higher-margin path.

How to Decide

Model both structures on your actual expected gallons, including credit card fees, freight, image obligations, and the cost of supply disruption. Decide with numbers, not identity.
